Terms and Conditions for Autofitment.ai

• "Account" means the account registered by or on behalf of the User to access the Service.
• "Customer Data" means all digital assets, automotive catalog data, fitment specifications, vehicle compatibility data, and inventory information uploaded, connected, or synced by the User.
• "Service" refers to the SaaS platform, APIs, tools, and AI-driven automated fitment mapping services provided via Autofitment.ai.
• "User" / "Customer" refers to the individual or legal entity accessing or using the Service.

Autofitment.ai provides automated vehicle compatibility, fitment data processing, catalog synchronization, and management tools for e-commerce sellers, distributors, and automotive business operators.

• Grant of License: Subject to compliance with these Terms, Autofitment.ai grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for internal business operations.
• Integration & Third-Party Platforms: The Service may integrate with third-party platforms (e.g., eBay, Amazon, Shopify, WooCommerce). You acknowledge that Autofitment.ai is not responsible for changes, suspensions, or terms enforced by third-party platforms.

• Accuracy of Information: You agree to provide accurate, current, and complete information during registration and keep your account profile updated.
• Credential Security: You are responsible for safeguarding your login credentials and for any activities or actions under your Account.
• Unauthorized Use: You must notify Autofitment.ai immediately upon becoming aware of any breach of security or unauthorized use of your Account.

• Subscription Plans: Access to certain features of the Service requires a paid subscription plan. Details of pricing and billing cycles are provided on our website or invoice.
• Billing & Renewal: Subscriptions renew automatically at the end of each billing cycle (monthly or annually) unless canceled prior to the renewal date.
• Fees & Taxes: All fees are exclusive of applicable taxes, levies, or duties imposed by taxing authorities, which shall be your responsibility.
• Non-Refundability: Paid subscription fees are non-refundable except where required by law or explicitly stated in a separate agreement.

• Ownership of Your Customer Data: You retain all ownership rights to the raw data, catalog details, and assets you provide to the Service. You grant Autofitment.ai a worldwide, non-exclusive license to host, copy, process, and display Customer Data solely as necessary to provide and improve the Service.
• Autofitment.ai IP: The Service, including its software, AI algorithms, database structures, UI design, branding, and proprietary fitment mapping logic, remains the exclusive property of Autofitment.ai and its licensors.
• Aggregated & Anonymized Data: Autofitment.ai may collect and use aggregated, non-personally identifiable technical and usage data to train, optimize, and improve its algorithms and service functionality.

• Data Verification: While Autofitment.ai utilizes automated AI and automotive standards (e.g., ACES/PIES) to generate accurate compatibility data, you are ultimately responsible for verifying fitment accuracy before publishing listings or fulfilling orders.
• Prohibited Activities: You agree not to:
  • Reverse-engineer, decompile, or extract source code or core algorithms of the Service.
  • Use the Service to process unlawful, infringing, or deceptive automotive listings.
  • Scrape, extract, or redistribute Autofitment.ai's consolidated fitment databases without express written permission.

To the maximum extent permitted by applicable law:

• No Direct or Indirect Damages: In no event shall Autofitment.ai, its directors, employees, or partners be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, lost sales, incorrect part fitment claims, shipping costs, or business disruption.

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. Autofitment.ai disclaims all warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that fitment suggestions will be 100% error-free or uninterrupted.

• Termination by You: You may cancel your subscription at any time through your account settings or by contacting customer support.
• Termination by Us: Autofitment.ai reserves the right to suspend or terminate your access immediately, without prior notice, if you breach these Terms or fail to pay applicable fees.
• Effect of Termination: Upon termination, your right to use the Service ceases immediately, and Autofitment.ai may delete Customer Data in accordance with its data retention policies.

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in England and Wales.

We reserve the right to modify or replace these Terms at any time. We will notify you of material changes via email or through a notice on the platform. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
